1. Affiliate Agreement
These Terms and Conditions (the “Affiliate Agreement” or “Agreement”) govern participation in the CuttingFluid.online Affiliate Program (the “Affiliate Program” or the “Program”) that is made available by CFO Distributors (“CuttingFluid.online”, “we” or “us”). These Terms and Conditions represent the whole agreement and understanding between CuttingFluid.online and the individual or entity who participates in the Program (the “Affiliate” or “you”).
2. Modification
CuttingFluid.online may modify the Affiliate Agreement at any time and at our sole discretion. These modifications may include, but not be limited to changes in the scope of available referral fees, fee schedules, payment procedures and Affiliate Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM, it will be considered as your acceptance of the change.
3. Enrollment
To enroll in the Affiliate Program you must fill out an application and be approved. Applicants will be notified of their acceptance status as soon as possible after the application is reviewed.
4. Affiliate Links and Referral Tracking
Once your Affiliate Program application has been approved, you will be able to access your unique referral link(s) by logging into the affiliate area. CuttingFluid.online will track users who have visited the site using these referral links using cookies which expire after 30 days. Only referred users who make a purchase while the cookie is active will be credited with the referral for the sale.
CuttingFluid.online is not responsible for any missed referrals that may result from the Affiliate’s modification of the referral link(s) or the cookies.
5. Commissions
Affiliates will receive 10% of the revenue of qualified sales as a commission from referrals through properly coded Affiliate links. Commissions will not be given on taxes or shipping charges. The commission rate may change at any time at the discretion of the product publisher. Commissions are calculated in Canadian dollars as that is the currency that orders are charged in.
6. Payouts
CuttingFluid.online pays Affiliates through Sandhills Development’s Payouts Service. Information required to facilitate payment needs to be entered in the affiliate area. If this information is not filled out, payment cannot be made. Please ensure that all payment information is entered accurately. CuttingFluid.online cannot resend payments returned due to incorrect payment information.
Qualified commissions will become eligible for payout at the end of the next calendar month after the sale takes place. CA$50 is the minimum amount that Affiliates need to have accumulated in order to be paid. If the balance owing is less than $50, it will carry over to the next month. Balances will continue to carry forward until they meet the minimum payout balance.
7. Order Fulfillment
Customers who purchase products through the CuttingFluid.online Affiliate Program will be deemed to be customers of CuttingFluid.online. Accordingly, all policies and procedures concerning customer orders including pricing will apply to those customers. Our policies will always determine the price paid by the customer.
8. Qualifying Sites
CuttingFluid.online reserves the right to refuse any site entry into the Affiliate Program based on referring site content. Sites which do not qualify for our program include websites which:
- Promote sexually explicit materials
- Promote violence
- Promote illegal activities
- Promote discrimination based on ethnicity, gender, religion, disability, sexual orientation or age
- Infringe or otherwise violate any intellectual property rights including copyright and trademark rights of any individual or entity
9. Permitted Usage
Affiliates are permitted to use graphical banners and design resources located in the affiliate area of the CuttingFluid.online website. If a specifically sized graphical ad is not available, the Affiliate may contact us through the Contact Us page and request a new graphical ad be added to the available resources.
10. Prohibited Usage
Affiliates are not permitted to use the CuttingFluid.online logo or other CuttingFluid.online website or branding imagery in any way as to indicate that they are officially partnered with CuttingFluid.online.
11. Spam Policy
CuttingFluid.online prohibits Affiliates from spamming others to seek sales including via email, spamming forums, blog comments, Twitter, Facebook and other social media platforms.
12. Term and Termination
The term of this Agreement will begin when you accept it and will end when terminated by either party. Either the Affiliate or CuttingFluid.online may terminate this Agreement at any time, with or without cause. Upon the termination of this Agreement, you will remove from Affiliate’s website(s) all links to CuttingFluid.online and all CuttingFluid.online graphical resources provided in connection with the Program.
13. Limitation of Liability
The Affiliate Program is provided on an “as is” and “as available” basis. The use of the Affiliate Program is at the Affiliate’s own risk. CuttingFluid.online makes no representations or warranties, express or implied, with respect to the Affiliate Program, or any service or information provided through the Affiliate Program.
CuttingFluid.online will not be liable for any indirect, special or consequential damages including any loss of revenue, profits, expenditures or data arising in connection with this Agreement or the Affiliate Program. Our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to the Affiliate under this Agreement.
The Affiliate will indemnify and hold harmless CuttingFluid.online, its directors, officers, employees, agents, subsidiaries and third parties from and against any losses, damages, liabilities, claims, judgements, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the Affiliate’s or any third party’s operations or use of the Affiliate Program.
14. Disclaimers
CuttingFluid.online makes no warranties or representations, either express or implied, with respect to the Affiliate Program or an Affiliate’s potential to earn income from the Program. We also make no representation that the operation of the website or the Affiliate links will be uninterrupted or error free and CuttingFluid.online will not be liable for the consequences of any interruptions or errors.
15. Relationship of Parties
CuttingFluid.online and the Affiliate are independent contractors. Nothing in this Agreement will create any partnership, employment, representative, agency or joint venture between the parties. The Affiliate has no authority to act on behalf of CuttingFluid.online.
16. Miscellaneous
The Affiliate warrants and represents that it is over the age of 18 and is qualified to enter into this agreement.
The Affiliate warrants and represents that its actions and its participation in the Affiliate Program is in compliance with all applicable laws, regulations, rules and any requirements of governmental authority at all times.
This Affiliate Agreement constitutes the entire understanding between CuttingFluid.online and the Affiliate. This Affiliate Agreement supersedes any other contracts and understandings between the parties hereto and neither party shall be bound by any statements or representations that are not embodied in the Agreement.
Any dispute arising in relation to this Affiliate Agreement shall be exclusively resolved in the Courts of the Province of Alberta, Canada.
